OpenAI Retains Nonprofit Control, Transitions For-Profit Arm to Public Benefit Corporation

OpenAI has announced a significant restructuring initiative. As of May 5, 2025, the company’s for-profit subsidiary will become a Public Benefit Corporation (PBC), while the nonprofit parent retains majority control and equity. This evolution is designed to simplify the organization’s structure and attract a wider investor base, while upholding OpenAI’s core mission — to ensure artificial general intelligence (AGI) benefits all of humanity.

The restructuring follows consultations with civic leaders, the Attorneys General of California and Delaware, and responses to public scrutiny — including legal complaints from Elon Musk and questions raised by Meta. The company affirmed that the PBC structure allows for responsible governance and long-term mission integrity while enabling strategic growth.

CEO Sam Altman emphasized that OpenAI is “not a conventional company” and reiterated their goal to provide AI tools that enhance democratic access, support human creativity, and are developed transparently. The restructuring reflects OpenAI’s commitment to scaling responsibly while staying true to its original vision.
